Affiliate Partner Agreement

Ashley Black Inc. x ELVT Social | NeXcia Partner Program

1. Program Overview. The NeXcia Partner Program ("Program") operated by Ashley Black Inc. and powered by ELVT Social allows approved affiliates ("Partners") to earn commissions by referring customers to purchase NeXcia products through their unique affiliate link.

2. Eligibility. You must be at least 18 years old and maintain an active membership ($19/month during beta) to participate. Acceptance into the Program is at the sole discretion of Ashley Black Inc.

3. Commission Structure. Partners earn 15% commission on qualifying product sales made through their unique affiliate link. Commission rates may be adjusted with 30 days written notice. Commissions are tracked via the affiliate portal at cbportal.elvt.social.

4. Payment. Commissions are paid once per month on the 15th for all sales made the 1st through 31st of the prior month. Partners are responsible for all applicable taxes on earnings.

5. Promotional Guidelines. Partners agree to promote products honestly and in compliance with all applicable laws. Partners must:

• ◆ Include clear FTC disclosure (#ad, #sponsored, or equivalent) on all promotional content
• ◆ Not make medical, health, or income claims that are false, misleading, or unsubstantiated
• ◆ Not use language such as “cures,” “treats,” “guaranteed results,” or specific income promises
• ◆ Represent the products and brand accurately and professionally
• ◆ Not engage in spam, misleading advertising, or any deceptive practices

6. Intellectual Property. Partners are granted a limited, non-exclusive license to use Ashley Black Inc. approved marketing materials. Partners may not modify trademarks, logos, or brand assets without written permission. All brand materials remain the property of Ashley Black Inc.

7. Prohibited Activities. Partners may not: bid on Ashley Black brand terms in paid advertising, create misleading websites or social profiles impersonating Ashley Black Inc, make unauthorized modifications to partner program pages, or engage in cookie stuffing or other fraudulent referral techniques.

8. Termination. Either party may terminate this agreement at any time. Ashley Black Inc. reserves the right to terminate any partner account that violates these terms, engages in fraudulent activity, or brings disrepute to the brand. Outstanding commissions on legitimate sales will be paid upon termination.

9. Limitation of Liability. Ashley Black Inc. and ELVT Social shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program. The Program is provided “as is” without warranty.

10. Modifications. Ashley Black Inc. reserves the right to modify these terms with 30 days notice to active Partners. Continued participation after notice constitutes acceptance of modified terms.

11. Governing Law. This agreement is governed by the laws of the State of Arkansas. Any disputes will be resolved through binding arbitration.

12. Acceptance. By enrolling in the NeXcia Partner Program and maintaining an active membership, you agree to abide by all terms outlined in this agreement.
